Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MspCoreX platform — this website (mspcorex.com), the web application at app.mspcorex.com, the associated mobile applications, and the endpoint monitoring agents — operated by MspCoreX SRL ("we", "us", "the company"), a company registered in Romania. By accessing or using the platform, you agree to be bound by these Terms. If you use the platform on behalf of an organization, you represent that you have the authority to bind that organization.

Where a separate written agreement or Service Order exists between your organization and MspCoreX SRL, its terms prevail over these Terms to the extent of any conflict.

1. Definitions

  • "Platform" means the MspCoreX web application, mobile applications, monitoring agents, and all related services.
  • "Tenant" means the organization that subscribes to the platform.
  • "User" means any individual authorized by a Tenant to access the platform.
  • "Content" means any data, files, or information uploaded to or generated within the platform.
  • "Service Order" means a written order form or agreement between a Tenant and MspCoreX SRL specifying plan, pricing, and any additional terms.

2. Account registration

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must immediately notify us of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to any part of the platform, its infrastructure, or another Tenant's data.
  • Interfere with or disrupt the platform's operation or security mechanisms.
  • Upload malicious code, viruses, or harmful content.
  • Use the platform to send unsolicited communications (spam).
  • Reverse-engineer, decompile, or disassemble any part of the platform.
  • Resell, sublicense, or redistribute access to the platform without authorization.

4. Content ownership and data protection

  • You retain ownership of all Content you upload to the platform.
  • You grant us a limited license to host, process, and display your Content solely for service delivery.
  • We do not access your Content except as necessary for support, troubleshooting, or legal compliance.
  • Upon termination, you may request export of your Content within 30 days.

Our processing of personal data contained in your Content is governed by the Data Processing Addendum. Data we collect about you as an account holder or visitor is described in our Privacy Policy.

5. Service availability

  • We aim to maintain high availability but do not guarantee uninterrupted service.
  • Scheduled maintenance windows will be communicated in advance when possible.
  • We are not liable for downtime caused by factors outside our reasonable control.
  • Where a Service Order specifies a service level agreement (SLA), that SLA governs availability commitments and remedies.

6. Payment and billing

  • Subscription fees are billed according to the selected plan and billing cycle.
  • Fees are non-refundable except where required by applicable law.
  • We reserve the right to modify pricing with at least 30 days' notice.
  • Failure to pay may result in suspension or termination of access.

7. Intellectual property

The platform, including its design, code, documentation, and branding, is the intellectual property of MspCoreX SRL. Nothing in these Terms grants you any right, title, or interest in the platform beyond the limited right to use it under these Terms.

8. Limitation of liability

To the maximum extent permitted by law, MspCoreX SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform.

Our total liability for any claim related to the platform shall not exceed the amount you paid for the service in the 12 months preceding the claim, unless a Service Order provides otherwise.

9. Indemnification

You agree to indemnify and hold harmless MspCoreX SRL from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

  • Either party may terminate the agreement with 30 days' written notice.
  • We may terminate immediately for material breach of these Terms.
  • Upon termination, your access will be revoked and Content may be deleted after the export period, as described in the Data Processing Addendum.

11. Governing law

These Terms are governed by the laws of Romania. Any disputes shall be resolved by the competent courts in Bucharest, Romania, unless the parties agree to alternative dispute resolution.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the platform or by email at least 30 days before they take effect. Continued use after changes constitutes acceptance.
